Terms of Service

By downloading, installing, or using Capturly ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

These Terms constitute a legally binding agreement between you and Corey Alan LLC ("Company", "we", "us", or "our").

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Software on devices you own or control
• Use the Software for personal or commercial podcast recording purposes
• Create and retain ownership of all recordings made with the Software

You agree NOT to:

• Copy, modify, or distribute the Software or its source code
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices or labels
• Use the Software for any illegal purpose or to violate any laws
• Sublicense, rent, lease, or lend the Software to third parties
• Use the Software to infringe on intellectual property rights of others

You own your recordings. Capturly does not claim any ownership rights to the audio, video, or other content you create using the Software.

You are solely responsible for:

• Obtaining necessary consents from recording participants
• Complying with applicable recording consent laws in your jurisdiction
• The content of your recordings and how you use them
• Backing up your recordings (we do not store your content)

Free Tier: The free version of Capturly is provided at no cost with limited features.

Paid Subscriptions: Pro features require a paid subscription. By subscribing, you agree to:

• Pay the applicable fees as displayed at time of purchase
• Automatic renewal unless cancelled before the renewal date
• Payments processed securely through Stripe

Refunds: We offer a 14-day money-back guarantee for annual subscriptions. Monthly subscriptions are non-refundable.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Software will meet your specific requirements
• The Software will be uninterrupted, timely, secure, or error-free
• Any defects in the Software will be corrected
• Recordings will be free from loss or corruption

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COREY ALAN LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

Our total liability for any claims arising from these Terms or your use of the Software shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

We may terminate or suspend your access to the Software at any time, with or without cause, with or without notice. Upon termination:

• Your license to use the Software immediately ends
• You must cease all use and delete all copies of the Software
• You retain ownership of any recordings created before termination

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date" above.

Your continued use of the Software after changes become effective constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
